Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Sapionic Ltd ("Company", "we", "us") governing your use of ShipFit (the "Service").

By using the Service, you accept these Terms in full. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

We may modify these Terms at any time by posting updated terms. Changes are effective immediately upon posting. Your continued use constitutes acceptance.

2. The Service

ShipFit is an AI-powered platform that provides analysis, recommendations, and outputs based on your inputs. The Service is provided for general informational purposes only.

The Service is not a substitute for professional advice. We do not provide legal, financial, business, medical, or other professional advice. Any decisions you make based on the Service are entirely at your own risk.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Service, you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorised use.

We may suspend or terminate your account at any time, for any reason, without notice or liability.

5. Fees and Credits

Pricing: We offer subscription plans and pay-as-you-go credits. Prices are subject to change at any time.

Billing: Fees are billed in advance. You authorise us to charge your payment method for all fees incurred.

No Refunds: All fees and credits are non-refundable under any circumstances, except where prohibited by law. Unused credits have no cash value.

Credit Expiration: All unused credits expire at the end of each billing period. Credits do not roll over. Unused credits are forfeited upon account termination or cancellation.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe any third-party rights
  • Input or generate harmful, abusive, defamatory, or objectionable content
  • Attempt to access, tamper with, or disrupt the Service or its systems
  • Reverse engineer, copy, or create derivative works of the Service
  • Use automated tools to access the Service without permission
  • Use the Service to develop competing products or train competing AI models
  • Resell, sublicense, or redistribute the Service
  • Share account credentials or allow unauthorised access

Prohibited Content: You must not use the Service to create, research, or validate products or content involving: violence, child exploitation, harassment, hate speech, illegal goods or services, fraud, malware, privacy violations, or any illegal activity.

Enforcement: We may remove content, suspend or terminate your account, and report illegal activity to authorities, all without notice, refund, or liability. We have no obligation to monitor content but may do so at our discretion.

7. Your Content and Data

Your Inputs: You retain ownership of content you input into the Service ("Your Content").

Licence to Us: By using the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, copy, modify, distribute, display, and create derivative works from Your Content for any purpose, including to operate, improve, and develop the Service and to train AI models.

AI Outputs: Outputs generated by the Service may be similar or identical to outputs for other users. We make no representations regarding uniqueness, accuracy, or fitness for any purpose. You are solely responsible for how you use any outputs.

No Confidentiality: We have no obligation to treat Your Content as confidential. Do not input confidential or sensitive information.

8. Intellectual Property

The Service, including all software, technology, content, trademarks, and materials, is owned by us or our licensors. These Terms grant you no rights except the limited right to use the Service as provided.

You may not use our trademarks, logos, or branding without prior written consent.

9. Third-Party Services

The Service integrates with third-party services (including AI providers, payment processors, and analytics tools). Your use of such services is subject to their terms. We are not responsible for third-party services and disclaim all liability arising from them.

10. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR OUTPUTS
  • UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION
  • THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • THAT AI OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR SUITABLE FOR ANY PURPOSE

YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

AI DISCLAIMER: The Service uses artificial intelligence which may produce inaccurate, incomplete, biased, or inappropriate outputs. AI outputs do not constitute advice and should not be relied upon for any decision. You are solely responsible for evaluating and verifying any outputs before use.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Cost of substitute services
  • Damages arising from your use of or inability to use the Service
  • Damages arising from AI outputs or your reliance on them
  • Damages arising from unauthorised access to your account
  • Damages arising from third-party services or conduct
  • Any other damages whatsoever

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE LESSER OF:

  • The amount you paid us in the three (3) months preceding the claim, or
  • Fifty pounds sterling (£50)

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we were advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the minimum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sapionic Ltd and its officers, directors, employees, agents, affiliates, and licensors from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:

  • Your use of the Service
  • Your Content or how you use AI outputs
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any dispute between you and any third party

We may assume exclusive control of any defence at your expense. You agree to cooperate with our defence.

13. Termination

By You: You may stop using the Service at any time.

By Us: We may suspend or terminate your access at any time, for any reason or no reason, with or without notice, and without liability.

Effect: Upon termination, all licences granted to you end immediately. You remain liable for all fees incurred. We may delete your data at any time after termination. Provisions that should survive termination will survive.

No Refunds: No refunds or credits will be provided upon termination for any reason.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

Exclusive Jurisdiction: Any disputes shall be resolved exclusively in the courts of England and Wales. You waive any objection to this jurisdiction and venue.

Limitation Period: Any claim must be filed within one (1) year of arising or is permanently barred.

Injunctive Relief: We may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. General

Entire Agreement: These Terms constitute the entire agreement and supersede all prior agreements.

Severability: If any provision is unenforceable, it shall be modified to the minimum extent necessary; remaining provisions remain in effect.

No Waiver: Our failure to enforce any provision is not a waiver.

Assignment: You may not assign these Terms. We may assign freely.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

No Third-Party Beneficiaries: These Terms do not create rights for any third party.

Notices: We may provide notices by email or posting on the Service. You must send legal notices to [email protected].
